Terms of Service

1. Description of Services

Vaycaay provides short-term rental (STR) co-hosting and property management services across multiple tiers (including but not limited to Vaycaay Boost, Vaycaay Pro, and Vaycaay Premium), as well as educational content and programs through Vaycaay Lab and related channels (webinars, livestreams, podcasts, and courses). Specific service inclusions, pricing, and terms for each tier are set out in a separate service agreement, order form, or product page and are incorporated into these Terms by reference.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms, including, where applicable, legal authority over the property being managed (as owner, authorized manager, or with owner consent), to use our Services.

3. Accounts

Some Services may require you to create an account or provide access credentials to third-party platforms (e.g., booking platforms, property management software, smart lock systems). You are responsible for:

• Providing accurate and complete information
• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us promptly of any unauthorized use

4. Fees and Payment

• Fees for Services are set out in your applicable service agreement or product page and may be structured as flat monthly fees, tiered pricing, or commission-based percentages of booking revenue.
• Fees are billed in accordance with the payment schedule specified at signup and are non-refundable except as expressly stated in your service agreement or required by law.
• We reserve the right to change pricing prospectively with reasonable notice.
• Late or failed payments may result in suspension of Services.

5. Property Management and Co-Hosting Services

For Clients engaging Vaycaay's property management or co-hosting tiers:

• You represent that you have the legal right to list and rent the property, and that the property complies with all applicable local laws, homeowner association rules, and short-term rental regulations.
• You authorize Vaycaay to act on your behalf for the specific functions described in your service tier, which may include pricing management, guest communication, booking management, and coordination of cleaning or maintenance vendors.
• Vaycaay does not guarantee specific occupancy rates, revenue outcomes, or booking volume. Performance projections, examples, or case studies shared in marketing materials are illustrative only and not a guarantee of results.
• You remain responsible for ensuring your property carries appropriate insurance coverage.

6. Educational Content and Programs

Content provided through Vaycaay Lab, webinars, courses, livestreams, or the podcast is for informational and educational purposes only. It does not constitute legal, financial, tax, or professional advice, and Vaycaay makes no guarantee of specific business results from applying this content.

7. Acceptable Use

You agree not to:

• Use the Site or Services for any unlawful purpose or in violation of these Terms
• Interfere with or disrupt the integrity or performance of the Site or Services
• Attempt to gain unauthorized access to any systems or data
• Misrepresent your identity or authority over a property
• Reproduce, resell, or exploit any part of the Services without our express written permission

8. Intellectual Property

All content on the Site, including text, graphics, logos, branding, videos, and educational materials, is the property of Vaycaay or its licensors and is protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our content without prior written consent.

9. Third-Party Platforms

Our Services may rely on or integrate with third-party platforms (e.g., booking sites, payment processors, property management software). We are not responsible for the availability, functionality, or practices of these third-party platforms, and your use of them may be subject to their own terms and policies.

10. Disclaimers

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VAYCAAY AND ITS OWNERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SITE OR SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO VAYCAAY IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Vaycaay and its owners, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your breach of these Terms, or your violation of any law or third-party right.

13. Termination

We reserve the right to suspend or terminate your access to the Site or Services at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to Vaycaay or other users. You may terminate your Services in accordance with the terms of your applicable service agreement.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved in the state or federal courts located in Broward County, Florida, and you consent to the personal jurisdiction of such courts.

15. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with a revised "Last Updated" date. Continued use of the Site or Services after changes constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
